Abstrakt
Ład korporacyjny odgrywa istotną rolę w funkcjonowaniu banków notowanych na giełdach papierów wartościowych. Banki giełdowe należą do największych instytucji finansowych, a ich upadłość doprowadzić może do destabilizacji całego sektora bankowego. Sprawne mechanizmy ładu korporacyjnego mogą wspierać bezpieczne funkcjonowanie banków, przyczyniając się tym samym do wzmocnienia systemu finansowego. Celem artykułu jest przegląd dotychczasowych badań empirycznych dotyczących wpływu wybranych elementów ładu korporacyjnego na wartość rynkową banków. W pracy zastosowano narracyjny przegląd literatury. Analiza wskazuje, że skuteczność organów statutowych (m.in. rozdział funkcji CEO i przewodniczącego, niezależność, liczebność, częstotliwość posiedzeń, różnorodność) oraz struktura właścicielska (udział insiderów, inwestorów instytucjonalnych i zagranicznych, poziom koncentracji) mogą wpływać na wartość rynkową banków. Kierunek tych zależności jest jednak często niejednoznaczny i zależny od kontekstu instytucjonalnego. Zidentyfikowano także luki badawcze – w szczególności niedostateczną liczbę analiz dotyczących banków z Europy Środkowej.
